PRS constitution and rules 

The Performing Right Society (PRS), which is part of PRS for Music Limited, must by law publish documents that formally set out its constitution and the rules affecting its members.

Rules and Regulations of the Performing Right Society Limited

The rules and regulations form part of the contract of membership between PRS and each of its members.

The Board is permitted, under its Articles of Association, to make or amend rules. These rules cannot, however, be implemented until they are approved by the Society's members in general meeting.

The Articles also permit the Board to make governance and operational regulations, such as the writers' loan scheme and postal ballot regulations. These must also be approved in general meeting.

Memorandum and Articles of Association of the Performing Right Society Limited

The Society is a company limited by guarantee. Its Memorandum of Association and Articles of Association form its constitution.

The memorandum is focused on the Society's external relations and lists the objects for which the Company may lawfully carry on business.

The Society's memorandum provides for the Society to make rules regulating specific areas of the Society's business, such as:

  • How members may register their works
  • How and how frequently distributions will be made
  • Complaints procedures

The articles of association set out internal governance matters and the rights and obligations members have to each other and to the Society.

Code of conduct

Our Code of Conduct covers all aspects of PRS for Music membership and areas we license from shops to new online streaming services.  It details what you can expect from our service to you, including what you can expect by way of provision and/or publication of information affecting members and music users individually and generally.  It also explains how we can help each other and what to do if things go wrong.
